Terms of Service

Expresso Gift Cards ("the App") is developed and operated by Anatoli Labs ("we," "us," or "our"). By installing, accessing, or using the App, you ("the Merchant") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

1. Description of Service

The App provides Shopify merchants with the ability to create gift cards in bulk, optionally schedule them for future delivery, and email them to recipients. The App operates within the Shopify platform and relies on Shopify's Admin API to create gift cards, manage customers, and send notifications.

2. Eligibility

You must have an active Shopify store and a valid subscription to the App through the Shopify App Store. You are responsible for ensuring that your use of the App complies with all applicable laws and regulations, including but not limited to laws governing gift cards, stored value, consumer protection, and electronic communications in your jurisdiction.

3. Subscription and Billing

The App is offered on a subscription basis through Shopify's managed billing. Pricing, billing cycles, and trial periods are as displayed on the App's listing in the Shopify App Store. By subscribing, you authorize Shopify to charge your account in accordance with their billing terms. We reserve the right to modify pricing with reasonable notice. Cancellation of your subscription will not entitle you to a refund for the current billing period.

4. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the App to send unsolicited or spam communications.
  • Import or distribute gift cards for fraudulent or illegal purposes.
  • Attempt to circumvent rate limits, security measures, or technical restrictions.
  • Use the App in any manner that could damage, disable, or impair the App or Shopify's services.
  • Provide false, misleading, or inaccurate information through the App.

You are solely responsible for all data you enter into the App, including but not limited to recipient names, email addresses, gift card amounts, custom codes, and personal messages.

5. Merchant Responsibilities

You acknowledge and agree that:

  • You are responsible for all gift cards created through the App. Once a gift card is created in Shopify, it cannot be reversed through the App. You must manage refunds, cancellations, and disputes directly through your Shopify admin.
  • You are responsible for email notifications. When email notifications are enabled, recipients will receive gift card emails from Shopify on your behalf. You must ensure you have the appropriate consent to email recipients.
  • You are responsible for compliance with gift card laws. Gift card regulations vary by jurisdiction. You are solely responsible for ensuring that your gift cards comply with applicable laws, including expiration policies, fees, and disclosure requirements.
  • You are responsible for custom codes. If you import gift cards with custom codes, you are responsible for ensuring codes are unique, secure, and not easily guessable. We are not liable for any losses resulting from compromised or predictable gift card codes.
  • You are responsible for your data. You must maintain your own backups of gift card data. While the App maintains import history for your convenience, this is not a substitute for your own records.

6. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE APP WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
  • THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE.
  • ANY ERRORS IN THE APP WILL BE CORRECTED.
  • GIFT CARDS WILL BE SUCCESSFULLY CREATED OR DELIVERED IN ALL CASES.
  • SCHEDULED IMPORTS WILL EXECUTE AT THE EXACT SPECIFIED TIME.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANATOLI LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES.
  • LOSS OF DATA OR GOODWILL.
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
  • DAMAGES ARISING FROM GIFT CARDS CREATED IN ERROR, INCLUDING INCORRECT AMOUNTS, RECIPIENTS, OR CODES.
  • DAMAGES ARISING FROM FAILED, DELAYED, OR DUPLICATE GIFT CARD CREATION.
  • DAMAGES ARISING FROM UNAUTHORIZED USE OF GIFT CARD CODES.
  • DAMAGES ARISING FROM EMAIL NOTIFICATIONS SENT OR NOT SENT.
  • DAMAGES ARISING FROM SCHEDULED IMPORTS THAT FAIL TO EXECUTE OR EXECUTE AT AN UNINTENDED TIME.

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US FOR USE OF THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Anatoli Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use or misuse of the App.
  • Gift cards created through the App, including any disputes with recipients or customers.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any third-party rights, including privacy rights.
  • Any data you submit through the App, including inaccurate or unauthorized recipient information.

9. Third-Party Services

The App relies on third-party services to operate, including but not limited to Shopify, Neon (database), Vercel (hosting), Sentry (error monitoring), and Upstash (scheduled execution). We are not responsible for the availability, performance, or policies of these third-party services. Your use of the App is also subject to Shopify's Terms of Service and API Terms of Use.

10. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the App, you agree to our Privacy Policy. You are responsible for ensuring that your collection and use of customer data through the App complies with applicable privacy laws, including GDPR, CCPA, and PIPEDA.

11. Intellectual Property

The App, including its design, code, features, and documentation, is the intellectual property of Anatoli Labs. These Terms do not grant you any rights to our intellectual property except the limited right to use the App in accordance with these Terms.

12. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. You may terminate your use of the App by uninstalling it from your Shopify store. Upon termination, your right to use the App ceases immediately. Sections 6, 7, 8, and 11 shall survive termination.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Your continued use of the App after changes are posted constitutes your acceptance of the modified Terms. We will make reasonable efforts to notify merchants of material changes.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada. You agree to submit to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Anatoli Labs with respect to the App and supersede all prior agreements and understandings.
